Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OmniPulse platform and website, operated by Ousama Nahle ("OmniPulse", "we", "us", "our"). By creating an account or using the service, you agree to these Terms.

1. Service Description

OmniPulse is a cloud-based gym management software platform that helps fitness businesses manage their members, memberships, activities, scheduling, attendance, staff, payroll, and finances. The service is provided as a Software-as-a-Service (SaaS) product accessible via web browser at omnipulse.onahle.com.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.

3. Acceptable Use

You agree to use OmniPulse only for lawful business purposes. You may not:

  • Use the service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the service, other accounts, or connected systems
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software
  • Interfere with or disrupt the service or servers
  • Use automated tools (bots, scrapers) to access the service without our written permission
  • Resell, sublicense, or redistribute the service without our written consent
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the service to store or process data that violates applicable data protection laws

4. Customer Data Ownership

You own your data. All data you enter into OmniPulse — member records, financial data, schedules, staff information — belongs to you. We do not claim any ownership or intellectual property rights over your data.

We process your data solely to provide and improve the OmniPulse service. We will not access your data except to operate the service, provide support you request, or comply with the law. For full details on how we handle data, see our Privacy Policy.

5. Data Export

You may export your data in CSV format at any time through the application. We believe your data should never be held hostage. If you need assistance with a data export, contact us at ousamanahle@gmail.com.

6. Billing and Payment

  • OmniPulse is offered at €79 per month per gym location.
  • Early adopter customers receive a locked-in rate that will not increase for as long as their subscription remains active.
  • Billing is monthly. Payment is due at the beginning of each billing period.
  • We will notify you at least 14 days before any price changes take effect (this does not apply to locked-in early adopter rates).
  • If a payment fails, we will notify you and provide a reasonable grace period before suspending access.

7. Free Trial

We may offer a free trial period at our discretion. During the trial, you have full access to the service. No payment information is required to start a trial. At the end of the trial, you will need to subscribe to continue using the service.

8. Cancellation

  • You may cancel your subscription at any time. There are no cancellation fees.
  • After cancellation, you retain access to the service until the end of your current billing period.
  • After your access ends, your data will be available for export for 30 days. After 30 days, your data will be permanently deleted from our production systems (backups may retain data for up to 90 days).

9. Service Availability

We work hard to keep OmniPulse available and reliable. However, we are an early-stage product and we want to be honest:

  • We do not offer a formal Service Level Agreement (SLA) at this time.
  • The service is provided on a "best effort" basis.
  • We may experience occasional downtime for maintenance, updates, or unforeseen issues.
  • We will do our best to notify you in advance of planned maintenance.
  • We are not liable for any losses resulting from service downtime.

10. Intellectual Property

OmniPulse owns all rights, title, and interest in the OmniPulse software, website, branding, documentation, and related materials. These Terms do not grant you any rights to use our trademarks, logos, or branding without our written permission.

Your data is yours. Our software is ours. This distinction is straightforward and we intend to keep it that way.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • OmniPulse is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • OmniPulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the service.
  • Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by applicable law.

12. Indemnification

You agree to indemnify and hold harmless OmniPulse from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.

14. Termination

By you: You may terminate your account at any time by cancelling your subscription (see Section 8).

By us: We may suspend or terminate your access if:

  • You violate these Terms or our Acceptable Use policy
  • Your account has unpaid invoices after reasonable notice
  • Continued provision of the service becomes impractical or unlawful

If we terminate your account for reasons other than your breach of these Terms, we will provide a pro-rata refund for any prepaid but unused period and allow 30 days for data export.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. As an early-stage product, we have not yet established a specific governing jurisdiction. Any disputes shall be resolved amicably in good faith before pursuing formal legal action.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and OmniPulse regarding the service, and supersede any prior agreements or understandings.
